Journal Article 1404 04 14 This article presents a comparative analysis of the legal approaches of Iran, the European Union, and the United States toward unfair contract terms. Unfair contract terms refer to conditions imposed by one party, often the one with superior economic power or bargaining leverage, which disproportionately disadvantage the other party. The aim of this study is to examine the similarities and differences in the approaches of these three legal systems regarding unfair terms, as well as to assess the strengths and weaknesses of each system. The article reviews the legal frameworks of the European Union, the United States, and Iran, utilizing various legal perspectives, including legal principles, economic analysis, and rational choice theories to analyze the issue. The paper also explores the challenges and legal gaps in Iran's legal system in addressing unfair terms, providing suggestions for legal reforms and judicial approaches. Ultimately, the article evaluates the opportunities and challenges that each legal system faces in combating unfair contract terms and highlights the need for further research in this area. The findings show that while the European Union and the United States have well-developed legal systems to address unfair terms, Iran's legal framework still requires significant reforms in this area. این مقاله به تحلیل تطبیقی رویکردهای حقوق ایران، اتحادیه اروپا و ایالات متحده آمریکا نسبت به شروط ناعادلانه قراردادی پرداخته است. شروط ناعادلانه در قراردادها به شرایطی اطلاق می‌شود که به نفع یکی از طرفین، به‌ویژه طرفی که از قدرت اقتصادی یا موقعیت چانه‌زنی بیشتری برخوردار است، تنظیم می‌شود و به ضرر طرف دیگر است. هدف این تحقیق بررسی شباهت‌ها و تفاوت‌های رویکردهای مختلف این سه نظام حقوقی در مواجهه با شروط ناعادلانه و ارزیابی مزایا و معایب هر کدام است. در این مقاله، به بررسی سیستم‌های حقوقی اتحادیه اروپا، ایالات متحده و ایران پرداخته شده است و از دیدگاه‌های مختلف از جمله اصول حقوقی، تحلیل‌های اقتصادی و نظریه‌های انتخاب عقلانی برای تحلیل این موضوع استفاده شده است. همچنین، به مشکلات موجود در حقوق ایران و خلأهای قانونی در زمینه مقابله با شروط ناعادلانه پرداخته شده و پیشنهاداتی برای اصلاحات قانونی و رویکردهای قضائی در ایران ارائه شده است. در نهایت، مقاله به بررسی فرصت‌ها و چالش‌های پیش روی سیستم‌های حقوقی مختلف در مقابله با شروط ناعادلانه پرداخته و ضرورت‌های انجام تحقیقات بیشتر در این زمینه را مطرح می‌کند. یافته‌ها نشان می‌دهد که در حالی که اتحادیه اروپا و ایالات متحده از سیستم‌های قانونی پیشرفته‌ای برای مقابله با شروط ناعادلانه برخوردارند، حقوق ایران هنوز به اصلاحات قابل توجهی در این زمینه نیاز دارد.
