Journal Article <p>One of the very important topics concerning the relationships between holding companies and subsidiary companies is the issue of the holding company’s responsibility regarding its subsidiaries. Given the independent legal personality, the question arises: Does the holding company have any responsibility for the actions and obligations of its subsidiary companies? The answer to this question may vary across different legal systems. In this article, an attempt has been made to answer this question by examining the legal systems of several countries and analyzing the relevant legal provisions in Iranian law. Ultimately, after thorough examination, it has been concluded that despite the independent legal personality of legal entities and the fact that in some legal systems, holding companies have been held responsible for their subsidiaries, in Iranian law, due to the lack of explicit legal texts on this matter and the emphasis on the independence of the legal personality of entities, it can be argued that holding companies are only responsible to the extent of a company and shareholder for the actions of the subsidiary.</p> <p>یکی از مبحث بسیار مهم درخصوص روابط شرکت‌های هلدینگ با شرکت‌های سرمایه، بحث مسئولیت شرکت‌های هلدینگ درخصوص شرکت‌های زیر مجموعه است با توجه به شخصیت حقوقی مستقل سوال قابل طرح این است که آیا شرکت هلدینگ درقبال اقدامات وتکالیف شرکت‌های شرمایه پذیر خود مسئولیتی دارد؟ جواب به این سوال درنظام‌های حقوقی ممکن است متفاوت باشد؛ در این مقاله سعی شده تا با نگاه به حقوق برخی از کشور‌ها وبررسی مواد قانونی مرتبطدرحقوق ایران به این سوال پاسخ داده شود ونهایتا پس از بررسی نتیجه گرفته شده که با وجود شخصیت حقوقی مستقل اشخاص حقوقی وبا وجود اینکه در برخی از نظام‌های حقوقی وبا وجود تاکید برا اصل استقلال شخصیت، شرکت هلدینگ درقبال شرکت‌های سرمایه پذیر مسئول شناخته شده اند؛ ولی، درحقوق ایران با توجه به نبود نص صریح درآن خصوص وبا توجه به تاکید براستقلال شخصیت اشخاص حقوقی می‌تواند نظر داد که شرکت‌های هلدینگ صرفا به میزان یک شرکت وسهام دار درقبال اقدامات شرکت سرمایه پذیر دارای مسئولیت می‌باشند.</p> https://www.csjlp.org/index.php/csjlp/article/download/52/36
